A legal memorandum (or legal memo) is an internal document prepared by a paralegal or attorney that analyzes a legal question by researching applicable law and applying it to the facts of a case. It provides an objective analysis and conclusion to guide legal strategy.

The heart of the memo, this section applies relevant legal authority to the facts. It should follow the IRAC (Issue, Rule, Application, Conclusion) or CREAC (Conclusion, Rule, Explanation, Application, Conclusion) structure for each issue analyzed. Discuss both favorable and unfavorable authority.
